1. Scope
This Payment Disclosure describes the payment terms applicable to subscriptions to the OpenSoftware network (the "Service"), operated by Alongside Finance, Inc., a Delaware corporation ("Alongside," "we," "us," or "our"). This Payment Disclosure is incorporated by reference into our Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.
2. Subscription Plans and Capacity
Access to the Service is provided on a capacity-based subscription basis. Each subscription includes a defined capacity allotment (for example, a specified number of operations, transactions, or units of consumption). Available plans, capacity tiers, and prices are published on our website and are subject to change as described in Section 7 of this Payment Disclosure.
If you reach your capacity limit before the end of your billing cycle, you may purchase additional capacity, upgrade to a higher-tier plan, or wait until your subscription renews at the start of the next billing cycle.
3. Auto-Renewal Terms
IMPORTANT — AUTOMATIC RENEWAL NOTICE. If you elect auto-renewal, your subscription will automatically renew at the end of each billing cycle for a successive period of the same length, and your payment method on file will be charged the then-current applicable subscription fee, until you cancel.
Renewal cadence and amount. Your subscription renews on the same cadence as your initial billing cycle (for example, monthly or annually). The renewal amount equals the then-current subscription fee for your plan, plus any applicable taxes.
How to cancel. You may cancel auto-renewal at any time, free of charge, through your account settings or by contacting us at support@opensoftware.co. Cancellation takes effect at the end of your current billing cycle. You retain access through the end of that cycle.
Renewal reminders. Where required by law, we will send you a reminder before any renewal that involves a price change or a renewal term of 12 months or longer.
4. Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at support@opensoftware.co. Cancellation prevents future renewals; the cancellation does not retroactively unwind charges already incurred. You retain access to the Service through the end of the current billing cycle.
5. Refunds
Unless otherwise required by law, all subscription fees are non-refundable. We may, in our sole discretion, offer refunds or credits on a case-by-case basis. Refund requests may be submitted to support@opensoftware.co.
If you are entitled to a refund under applicable consumer protection law (including state-level automatic renewal laws), we will process the refund in accordance with that law.
6. Failed Payments
If a payment fails (for example, due to an expired card, insufficient funds, or a payment-method dispute), we may suspend your access to the Service until the payment is successfully processed. We may retry the failed payment one or more times, in accordance with our payment processor’s standard procedures. If the payment cannot be collected after a reasonable grace period, we may terminate your subscription.
You are responsible for keeping your payment information current and accurate.
7. Price Changes
We may change subscription prices and capacity allotments from time to time. We will provide you with at least thirty (30) days’ advance notice of any price increase that will affect your subscription on renewal, either by email or through the Service. If you do not agree to the new price, you may cancel your subscription before the effective date of the change. Continued use of the Service after the effective date constitutes your acceptance of the new price.
8. Taxes
Subscription fees do not include any applicable taxes, including sales, use, value-added, or similar taxes (collectively, "Taxes"). You are responsible for paying any Taxes assessed in connection with your subscription, except for taxes based on our net income. Where required by law, we will collect Taxes from you and remit them to the applicable taxing authority.
9. Payment Processor
We use Stripe, Inc. ("Stripe") to process payments. Your provision of payment information and your use of the payment functionality are subject to Stripe’s terms of service and privacy policy, in addition to this Payment Disclosure. We do not store your full payment-card information; Stripe handles the storage and processing of payment-card data in compliance with applicable PCI DSS standards.
10. Billing Disputes
If you believe a charge is incorrect or unauthorized, please contact us at support@opensoftware.co within thirty (30) days of the charge. We will investigate the dispute in good faith. If you initiate a chargeback or payment dispute with your payment provider before contacting us, we reserve the right to suspend your access until the dispute is resolved.
11. Currency
Subscription fees are denominated in US dollars unless otherwise specified at the point of purchase. If your payment method is in a different currency, your bank or card issuer may apply conversion rates and fees that are not controlled by us.
12. Receipts and Invoices
Receipts and invoices for your subscription charges are available through your account settings. If you require additional documentation (for example, a tax-compliant invoice), please contact us at support@opensoftware.co.
13. Future Structure
As described in our Terms of Service, Alongside may transition the operation of the Service to a successor entity in the future. Existing subscription terms and payment arrangements will continue to apply, with the successor entity assuming Alongside’s role as the counterparty to your subscription.
