1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the OpenSoftware network, including the OpenSoftware app store and any related websites, applications, APIs, and services (collectively, the "Service"), provided by Alongside Finance, Inc., a Delaware corporation ("Alongside," "we," "us," or "our").

By accessing or using the Service, by clicking to accept these Terms, or by completing the registration process, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service. If you are accepting these Terms on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

These Terms include a binding arbitration provision and a class-action waiver in Section 15, which affect your legal rights. Please review them carefully.

2. Description of the Service

The OpenSoftware network is a curated platform that distributes open-source software products (the "Products") to subscribers. The Products include software contributed by Alongside and by outside contributors. The Products are made available under the applicable open-source licenses (typically the Apache License, Version 2.0), the terms of which govern your rights to use, modify, and distribute the underlying software.

The Service provides discovery, distribution, and capacity-based access to the Products. Your use of any particular Product is also governed by that Product’s open-source license.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction (whichever is greater), to create an account or use the Service. By using the Service, you represent that you meet these eligibility requirements.

3.2 Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, complete, and current information and to update it as needed. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

3.3 Account Security

You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to comply with this Section.

4. Subscriptions, Access, and Capacity

4.1 Subscription Plans

Access to the Service is provided on a capacity-based subscription basis. Available plans, capacity tiers, and pricing are described on our website and are subject to change consistent with Section 14.

4.2 Capacity Limits

Each subscription includes a specified capacity allotment (for example, a defined number of operations, transactions, or units of consumption). Once you reach your capacity limit, you may renew, upgrade, or purchase additional capacity through the Service.

4.3 Auto-Renewal

If you elect auto-renewal, your subscription will automatically renew at the end of each billing cycle, and your payment method on file will be charged the then-current applicable subscription fee, until you cancel. Auto-renewal terms, including cancellation procedures, are described in our Payment Disclosure and presented to you at the time of subscription.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@opensoftware.co. Cancellation takes effect at the end of the current billing cycle; you retain access through the end of that cycle. Refund policies are described in our Payment Disclosure.

5. License to the Service; Use of Products

5.1 License to Access the Service

Subject to your compliance with these Terms, Alongside grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business purposes during the term of your subscription.

5.2 Use of Products

The Products are open-source software licensed under the applicable open-source license (typically the Apache License, Version 2.0). Your rights to use, copy, modify, and distribute each Product are governed by that Product’s license terms, not by these Terms. You agree to comply with all attribution, notice, and other requirements imposed by the applicable open-source license.

5.3 No Trademark License

These Terms and the open-source licenses do not grant you any right to use the names, logos, trademarks, or service marks of Alongside, the OpenSoftware network, or any contributor, except as expressly authorized in writing or as needed for ordinary reference and fair use.

6. User Obligations and Acceptable Use

You agree not to:

  • Use the Service in any manner that violates applicable law or any third party’s rights, including intellectual property, privacy, or contract rights.
  • Reverse engineer, decompile, or disassemble any non-open-source portion of the Service, except to the extent expressly permitted by applicable law.
  • Circumvent or attempt to circumvent the Service’s capacity, access, security, or authentication mechanisms.
  • Use the Service to upload, transmit, or distribute any malware, viruses, harmful code, or content that infringes any third party’s rights.
  • Use the Service to harass, threaten, defame, or otherwise harm any person.
  • Scrape, crawl, or otherwise extract data from the Service except as expressly permitted by us or as part of ordinary use of the Products under their open-source licenses.
  • Resell, sublicense, or commercially redistribute access to the Service to third parties without our prior written authorization.
  • Misrepresent your identity or affiliation with any person or entity.

7. Intellectual Property

7.1 Service IP

Alongside (or our licensors) owns all right, title, and interest in and to the Service itself, including the OpenSoftware brand, trademarks, website design, proprietary algorithms, and any non-open-source code that powers the Service. These Terms do not grant you any ownership interest in the Service.

7.2 Product IP

The Products are open-source software. Ownership of each Product is governed by the Product’s applicable license and contributor framework. Contributions submitted by outside contributors are subject to the Contributor License Agreement referenced in Section 8.

7.3 Your Content

You retain ownership of any content you submit to the Service (for example, reviews, ratings, support tickets, or feedback). By submitting such content, you grant Alongside a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute that content in connection with operating and improving the Service.

7.4 Feedback

If you provide feedback or suggestions about the Service, you grant Alongside a perpetual, irrevocable, royalty-free, transferable license to use that feedback for any purpose without obligation to you.

8. Contributors

If you submit any software, code, content, or other material for inclusion in the OpenSoftware network, you must accept and comply with our Contributor License Agreement. By submitting any such material, you represent that you have authority to do so and that your submission complies with the terms of the Contributor License Agreement.

9. Third-Party Materials and Services

The Service includes Products and other materials contributed by parties other than Alongside, and may integrate with or link to third-party services (including, for example, our payment processor). We are not responsible for the content, accuracy, or availability of third-party Products, materials, or services. Your use of any third-party Product or service is at your own risk and subject to that party’s applicable terms.

10. DMCA / Copyright Infringement

We respect the intellectual property rights of others and expect users to do the same. If you believe that material available through the Service infringes your copyright, you may submit a notice in accordance with the Digital Millennium Copyright Act. Your notice must include: (a) a physical or electronic signature of the copyright owner or authorized representative; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information sufficient to permit us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.

We reserve the right to remove or disable access to material claimed to be infringing and to terminate the accounts of repeat infringers.

11. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason, including non-payment. You may terminate your account at any time as described in Section 4.4. Provisions that by their nature should survive termination (including Sections 5.2, 6, 7, 8, 10, 11, 12, 13, 14, 15, 16, 17, and 18) will survive.

12. Disclaimers

THE SERVICE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

ALONGSIDE DOES NOT WARRANT THAT THE SERVICE OR ANY PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM ALONGSIDE OR THROUGH THE SERVICE, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ALONGSIDE OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

ALONGSIDE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ALONGSIDE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, ALONGSIDE’S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless Alongside and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any third party’s rights; or (d) any content you submit through the Service.

15. Dispute Resolution; Arbitration; Class-Action Waiver

15.1 Informal Resolution

Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at support@opensoftware.co. We will attempt to resolve the dispute by working with you in good faith for at least sixty (60) days.

15.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware, in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

15.3 Class-Action Waiver

YOU AND ALONGSIDE EACH AGREE THAT ALL CLAIMS WILL BE BROUGHT IN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN ANY CLAIMS WITH ANY OTHER PERSON’S CLAIMS.

15.4 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small-claims court, and either party may seek injunctive or other equitable relief in any court of competent jurisdiction for matters relating to intellectual property infringement, misappropriation of trade secrets, or unauthorized access to the Service.

15.5 Opt-Out

You may opt out of the arbitration agreement in this Section 15 by sending written notice to support@opensoftware.co within thirty (30) days of first accepting these Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Subject to Section 15, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to arbitration.

17. Future Structure

Alongside may, in the future, transition the operation of the Service to a successor entity (including a subsidiary or affiliate of Alongside, or a separate legal vehicle such as a foundation). You agree that Alongside may assign these Terms to any such successor entity on prior notice to you, and the successor entity will assume Alongside’s obligations and rights under these Terms going forward. Continued use of the Service after the assignment constitutes your acceptance of the assignment.

18. General Provisions

18.1 Modifications

We may modify these Terms from time to time. Material changes will be posted to the Service or sent to you by email, with a revised "Last Updated" date. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms.

18.2 Notices

We may provide notices to you by email, through the Service, or by other reasonable means. You may provide notices to us by email at support@opensoftware.co.

18.3 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.4 No Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision.

18.5 Entire Agreement

These Terms, together with the Privacy Policy, the Payment Disclosure, and the Contributor License Agreement (if applicable), constitute the entire agreement between you and Alongside regarding the Service and supersede all prior agreements and understandings.

18.6 Assignment

You may not assign or transfer these Terms without our prior written consent. Alongside may freely assign these Terms as set forth in Section 17.

Headings are for convenience only and do not affect the interpretation of these Terms.
